LEGAL AND COMPLAINCE OFFICER
The MTB is looking for a self-driven and competent person to fill the vacant position of Legal and
Compliance Officer. The Legal and Compliance Officer will be responsible for corporate governance and
providing legal advice to the Board and ensuring that all decisions are legally sound and implementable.
The Legal and Compliance Officer will ensure that Board decisions promote good corporate governance,
in line with the MTB strategic plan and vision. The position reports to the Board functionally and,
administratively to the Executive Director.
QUALIFICATIONS AND EXPERIENCE:
Applicants must possess the following minimum educational qualifications and experience among others:
 Bachelor of Laws Honours Degree or a related field.
 Chartered Secretary / Governance Professional or equivalent professional qualification.
 A relevant master’s degree will be an added advantage.
 A minimum of 5 years’ relevant experience, of which 3 should have been in corporate secretarial at a
senior level.
KEY RESULT AREAS / DUTIES
Inspired by the MTB vision, mission, and philosophy, and informed by the MTB outcomes-based strategic
plan, the specific duties and responsibilities of the Legal and Compliance Officer will include:
1. Supporting the delivery of strategic initiatives as well as strategic planning processes.
2. Negotiating, drafting/reviewing business contracts.
3. Monitoring and ensuring regulatory and statutory compliance.
4. Partnering with key stakeholders across functional areas and businesses.
5. Providing sound legal advice and legal counsel to the Board, management, and staff on matters of
law and ethics in compliance with good corporate governance principles.
6. Monitoring policy development.
7. Key stakeholder relations management.
8. Developing profile and public image of organization.
9. Acting as Board Secretary, advisor, and custodian of Board resolutions.
10. Providing secretarial services to the Board and Committee meetings, including convening the
meetings, preparation of agenda and papers as well as drafting of minutes.
11. Drafting Board resolutions and ensuring that appropriate approval processes are followed in line with
the applicable governance frameworks.
12. Effectively coordinate the training and induction of new Board members.
13. Coordinating all Board activities and meetings.
14. Ensuring that all key contracts for MTB are legally compliant and the organisation’s interests are
adequately safeguarded.
15. Assisting the Board with yearly evaluation.
16. Ensuring the safe keeping and security of MTB legal documents and records.
17. Ensuring that notices of all shareholders’ meetings, board meetings and board committee meetings
are given in accordance with the law.
18. Playing an active part in the creation of marketing and public relations strategies in order to enable
the cultivation and enhancement of strong and meaningful relationships with stakeholders.

General Management Skills: The successful candidate should be articulate and proactive, serves as a
corporate media spokesperson, be a thought leader and advisor, computer literacy, manages relationships
with key stakeholders, ethical, knowledgeable of policy and procedure development and implementation,
and have an ability to pay attention to detail.

Technical Knowledge and Skills: Business Law, corporate governance and secretaryship, regulatory
and statutory compliance
